Official Terms and Conditions: QMxntorship

QMxntorship serves to support emerging music professionals in Queensland’s music industry to help us recover from the devastation felt by the effects of COVID-19 and safeguard a pipeline of talent to create new music into the future. The team of eight mentees will create and deliver a regional tour in Far North Queensland in November 2020, planning the events circuit, developing budgets, booking venues and artists and managing events.

QMusic will partner with regional local government areas including the Regional Arts Services Network (RASN) to deliver Womxn in Music: QMxntorship.

You (an individual, referred to hereafter as the “Applicant”) and QMusic Network ( the “Sponsor”) are entering into this agreement (“Agreement”) for the QMusic Womxn In Music: QMxntorship. In order to apply to participate in the QMusic Womxn In Music: QMxntorship, the Applicant must accept these terms, and therefore should take the time to understand them. 

IF THE APPLICANT CLICKS "ACCEPT" AND PROCEEDS TO APPLY FOR THE QMUSIC WOMXN IN MUSIC: QMXNTORSHIP, THIS AGREEMENT WILL BE A VALID AND BINDING AGREEMENT BETWEEN THE APPLICANT AND SPONSOR. The Applicant should print and keep a copy of this Agreement.

Summary of Certain Key Terms and Conditions

The following is a summary of certain key terms and conditions of the QMusic Womxn In Music: QMxntorship. Please read the Terms and Conditions below for a complete understanding of the QMusic Womxn In Music: QMxntorship terms and conditions.

  1. Eight winning Applicants (referred to hereafter as the “Mentees”) will be admitted into the QMusic Womxn In Music: QMxntorship.
  2. The QMusic Womxn In Music: QMxntorship consists of:
    1. Three (3) ninety-minute one-on-one mentoring sessions.
    2. QMusic facilitated, fortnightly collaborative meetings to work on a Queensland Regional Music Tour (referred to hereafter as “Regional Tour”).
    3. On completion of the program, Mentees will have worked with QMusic and successfully developed and implemented a Regional Tour and gained valuable industry experience in goal setting, tour planning, marketing, financial management and event delivery.
    4. Complimentary, twelve-month QMusic Individual (unwaged or sole trader) membership.
  3. Mentees will be selected from the applications submitted to the QMusic Womxn In Music: QMxntorship from Wednesday 1 July 2020 to 11:59pm (AEST), Tuesday 28 July 2020.
  4. To be eligible, the Applicant must:
    1. Identify as a womxn.
    2. Be at least 18 years of age.
    3. Reside in Queensland.
  5. Applications will be evaluated on (a) which regional council in Queensland they are aligned to, (b) the Applicants previous contribution to the music industry and demonstrated interest in advancing in the music industry, and (c) their availability to participate in a Queensland tour as part of the mentorship delivery. The judging panel will consist of QMusic Network, and all decisions are final and no conversations will be entered into.
  6. In connection with the QMusic Womxn In Music: QMxntorship, it is the Sponsor’s intention to use recordings of the Mentees undertaking the Regional Tour for the purpose of promoting the QMusic Womxn In Music: QMxntorship without further payment of any license or other fee. 
  7. Mentors will be paid $500.00 (+ GST if registered). One mentor undertaking an overarching Project Manager role will be paid $5000 (+ GST if registered). 

Complete Terms and Conditions

  1. Eligibility. 
      1. Personal eligibility: The QMusic Womxn In Music: QMxntorship is open to Applicants who meet all the following eligibility requirements:
        1. Age – Applicants must be at least 18 years of age.
        2. Residency – Applicants must reside in Queensland, and will be requested to provide proof of residency.
        3. Gender Identification - Applicants must identify as women.
        4. Exclusions – Individual Artists must not be (i) an employee of the Sponsor, or (ii) a member of the immediate family of an employee of the Sponsor.
  2. How to Participate.
    1. Submit an Application – Awarded to eight (8) Applicants.
      1. Individuals must submit an Application (“Application”) during the Application Period set forth below. Only one (1) Application may be submitted per Individual for each Application Period.
      2. Artists may submit an Application at www.qmusic.com.au.
      3. The Application should detail (1) information regarding the Applicants current role in the industry, (2) an overview of the Applicants career to date, (3) identification of industry roles of interest, (4) career goals, (5) current challenges the Applicant is facing, and (6) letters of support to reinforce the Applicant’s Application.
      4. All documents and materials submitted for consideration of the QMusic Womxn In Music: QMxntorship will not be returned.
  3. Application Period.


    1. The Application period is Wednesday 1 July 2020 - 11:59pm (AEST), Tuesday 28 July 2020. This application period is subject to change.
  4. Application Guidelines.


    1. Language. Applications must be in the English language.
    2. True and accurate information. All information provided by Applicant is true, accurate, current, and complete information, and Applicant will maintain and update the Applicant Information to keep it true, accurate, current, and complete.
    3. No violation of third-party rights. Unless otherwise disclosed in the Application, the exercise by the Sponsor of any of the rights granted by Applicant under this Agreement, do not and will not infringe or violate any rights of any third party or entity, including, without limitation, patent, copyright, trademark, trade secret, defamation, privacy, publicity, misleading or deceptive conduct, misappropriation, intentional or negligent infliction of emotional distress, confidentiality, or any contractual or other rights.
    4. Full permissions. All persons, if any, who were engaged by Applicant to work on the Application or who appear in the Application in any manner: have given Applicant their express written consent to submit the Application for unlimited, royalty-free use, exhibition and other exploitation in any manner and in any and all media, whether now existing or hereafter discovered, throughout the world, in perpetuity; have provided written permission to include their names, images, or pictures in or with the Application (or if a minor who is not Appliant’s child, Applicant must have the permission of minor’s parent or legal guardian), and Applicant may be asked to provide evidence of such permission in writing as part of the Application, in a form satisfactory to the Sponsor; have no claims for payment of any kind, including, without limitation, for royalties or residuals against the Sponsor; have no approval or consultation rights or any rights of participation arising out of any use, exhibition or other exploitation of the Application; and have not been and are not currently under any agreement, including any union or guild agreement, that results in any ongoing obligations resulting from the use, exhibition or other exploitation of the Application.
    5. Confidentiality. Submission of an Application will not be acknowledged and will not be received or held "in confidence." The act of submitting an Application does not create a confidential relationship or obligation of secrecy between Applicant and the Sponsor.
  5. Prize Determination.


    1. Prize winners (“Mentees”) from submissions made to QMusic Womxn In Music: QMxntorship. All compliant Applications received during the Application Period will be evaluated against other Applications during that same Application Period and will be eligible to receive a place in the QMusic Womxn In Music: QMxntorship for that Application Period.

      Applications will be evaluated on (a) which regional council in Queensland they are aligned to, (b) the Applicants previous contribution to the music industry and demonstrated interest in advancing in the music industry, and (c) their availability to participate in a Queensland tour as part of the mentorship delivery.
    2. The winners of the Applicant QMusic Womxn In Music: QMxntorship are required to sign and return their Letter of Agreement to QMusic Network, within two (2) weeks of the date of the agreement. If any of the conditions of the Agreement are not met, the contract may be void.
    3. The winners of the Applicant QMusic Womxn In Music: QMxntorship shall be determined by QMusic Network, whose decisions are final. No feedback will be provided to unsuccessful applicants. All determinations by the judges of the QMusic Womxn In Music: QMxntorship winning Mentees are subject to the winning Mentees’ compliance with the terms of this Agreement.
    4. Priority will be given to Aboriginal and Torres Strait Islander applicants.
  6. Mentee’s Obligations.


    1. The following shall apply to QMusic Womxn In Music: QMxntorship Mentees:
      1. The Mentee is required to send all contractual and/or financial documents regarding the Regional Tour to QMusic Management Staff for approval and signing, and is not eligible or permitted to sign any documentation or enter into verbal contracts on the behalf of QMusic Management Staff. 
      2. Where mentioning the QMusic Womxn In Music: QMxntorship online, the Mentee is to link to www.qmusic.com.au and tag @QMusicNetwork #QMusicNetwork #QLDWomxn and #womxninmusic on social media platforms. 
      3. Where relevant within media interviews/PR opportunities, the Mentee is to mention the QMusic Womxn In Music: QMxntorship in relation to said Mentee’s creative projects made possible via QMusic Womxn In Music: QMxntorship. 
    2. Mentees involved in the QMusic Womxn In Music: QMxntorship are required to share and credit any major content created by QMusic for the purpose of promoting the QMusic Womxn In Music: QMxntorship and Regional Tour across their own social media channels (ie. Facebook, Instagram, Twitter). The timing of this will be communicated by QMusic. 
    3. If requested, the Mentee agrees to participate in approved promotional activities (including interviews, press and/or media days, film and/or photo shoots, together “Promotional Activity”) organised by QMusic representatives relating to the QMusic Womxn In Music: QMxntorship, subject to Mentee’s availability. Reasonable travel expenses (“Expenses”) will be paid by QMusic in relation to QMusic Womxn In Music: QMxntorship Promotional Activity.
  7. Mentee’s Grant of Rights.
  8. Mentee agrees for their details to be shared with QMusic Womxn In Music: QMxntorship funding partner Department of Small Business and Training. 
  9. Mentee’s admitted into the QMusic Womxn In Music: QMxntorship, the Sponsor or its agents may record Mentee’s voices, sounds and images (including any performances, presentations and interviews) for any activities related to the QMusic Womxn In Music: QMxntorship or Regional Tour (including any locations, concerts, recording studios and backstage locations) (collectively, the “Recordings”).
  10. The Mentee consents to the Sponsor using the Recordings as follows:
    1. Mentee agrees that the Sponsor or its agents may record such Recordings by any means, including by film, digital recording, videotape, audiotape and photography. 
    2. Mentee irrevocably and unconditionally grants to the Sponsor any consents and waivers required by the Sponsor under the Australian Copyright Act 1968 (as amended) and any statutory re-enactment or modification and all other laws now or in the future in force in any part of the world which may be required for the exploitation of the Recordings. 
    3. The Recordings may be copied, distributed, communicated to the public and otherwise used by the Sponsor, its affiliates and their respective licensees to promote the QMusic Womxn In Music: QMxntorship, or QMusic Network’s association with music and ancillary uses (the “Purposes”), including: (1) on websites, digital platforms and/or social media platforms owned or controlled by the Sponsor, its affiliates or their respective licensees (including but not limited to www.qmusic.com.au, YouTube, Facebook, Instagram, Twitter and Instagram); (2) on television or radio programming; (3) on print, in-store and out-of-home advertising and press and/or media events; and (4) on any and all other audio and/or audio-visual media whether now known or hereafter developed. 
    4. Mentee consents to the use of third party advertising in connection with the Recordings in any media provided that Mentee is not represented as personally endorsing the featured products or services. 
    5. Mentee grants to the Sponsor the right to use and to license third parties to use the Recordings or any part(s) of the Recordings and Mentee’s name, likeness, voice, biographical information and social media posts (relating to the QMusic Womxn In Music: QMxntorship) of Mentee (together, “Content”) for the Purposes in any and all media in connection with the exploitation of the Recordings. 
    6. Mentee assigns to the Sponsor by way of present assignment of present and future copyright and with full title guarantee any and all of Mentee’s rights in the Recordings and all products and materials arising out of the performances recorded. The Mentee agrees to sign all necessary documentation to give legal effect to this subsection. 
    7. Mentee acknowledges that, subject to any separate agreement between the Sponsor and Mentee, the Sponsor exclusively owns all rights (including copyright) in the Recordings and owns all master tapes and recordings of the Recordings. 
    8. Mentee consents to the Sponsor doing (or omitting to do) any acts in respect of the Recordings which may otherwise constitute an infringement of the Mentee’s moral rights (as far as it is possible to do so). The Sponsor agrees not to use the Recordings in any way which is derogatory to Mentee.
      1. Mentee acknowledges that the consideration given to the Mentee by the Sponsor pursuant to this Agreement in conjunction with the Recordings includes all equitable remuneration in connection with all uses of the Recordings by the Sponsor for the Purposes (including the grant of all reproduction, distribution, rental and lending rights). The Sponsor shall not be liable to Mentee for any royalty or residual payments due to Mentee. 
      2. Subject to any prior approvals agreed in writing between the Sponsor and Mentee, the Sponsor shall be entitled to cut, edit, modify, add to, adapt, copy or alter the Recordings in any way in its absolute discretion. 
      3. Nothing in this Agreement shall affect Mentee’s right, or the right of any authorized publisher or co-writer, to collect public performance royalties from any applicable collection society (if relevant). 
      4. Mentee agrees to execute and deliver to the Sponsor any and all documents and do any other acts as the Sponsor may reasonably deem necessary to evidence and effectuate all or any of the rights granted to the Sponsor under this Agreement.
  11. Privacy. 
    1. The Sponsor’s privacy policy will apply to the QMusic Womxn In Music: QMxntorship and to all information that the Sponsor receives from Mentee’s who apply for or participate in the QMusic Womxn In Music: QMxntorship. The privacy policy contains information about how to access and correct your personal information or make a complaint about a potential breach of privacy. Artists may obtain a copy of the Sponsor’s privacy policy by contacting customer service via telephone at (07) 3257 0013, email at info@qmusic.com.au or write to the Sponsor at: PO Box 878, Fortitude Valley, 4006, Queensland, Australia. Participation in the QMusic Womxn In Music: QMxntorship implies authorisation to transfer personal data to jurisdictions other than Queensland for purposes of administration of the QMusic Womxn In Music: QMxntorship. The Sponsor collects personal information of Mentee’s to administer the program and personal information may be used to contact Mentee’s regarding the QMusic Womxn In Music: QMxntorship. Mentee’s may access, withdraw, and correct their personal data sending a message to the contact details provided above.
  12. Limitations and Indemnification. 


    1. By applying for or participating in the QMusic Womxn In Music: QMxntorship, the Applicant agrees to release, indemnify, defend and hold harmless the Sponsor, Queensland Music Network Incorporated, directors, officers, employees, sponsors and agents, including mentors, advertising and promotion agencies, assigns, and any other organisations related to the QMusic Womxn In Music: QMxntorship (“Released Entities”), from any and all claims, injuries, damages, expenses, or losses to person (including bodily injury or death) or property and/or liabilities of any nature that in any way arise from applying for the QMusic Womxn In Music: QMxntorship, participating in the QMusic Womxn In Music: QMxntorship or related events, or parts thereof, including, without limitation, (i) any condition caused by events beyond the control of the Released Entities that may cause the QMusic Womxn In Music: QMxntorship to be disrupted or corrupted; and (ii) any printing or typographical errors in any materials associated with the application. Participating Mentee’s agree to be bound by this Agreement. NOTHING IN THIS AGREEMENT LIMITS, EXCLUDES OR MODIFIES OR PURPORTS TO LIMIT, EXCLUDE OR MODIFY ANY STATUTORY CONSUMER GUARANTEES OR ANY IMPLIED CONDITION OR WARRANTY THE EXCLUSION OF WHICH FROM THIS AGREEMENT WOULD CONTRAVENE ANY STATUTE OR CAUSE ANY PART OF THIS AGREEMENT TO BE VOID ("NON-EXCLUDABLE GUARANTEES”). SUBJECT TO ANY NON-EXCLUDABLE GUARANTEES, IN NO EVENT WILL THE SPONSOR AND/OR ANY RELEASED ENTITIES BE LIABLE TO AN MENTEE’S OR A WINNER, AS APPLICABLE, FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR APPLICATION FOR OR PARTICIPATION IN THE QMUSIC WOMXN IN MUSIC: QMXNTORSHIP, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT ANY ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SUBJECT TO ANY NON-EXCLUDABLE GUARANTEES, THE SPONSOR’S AND/OR ITS AFFILIATES MAXIMUM AGGREGATE LIABILITY IN CONNECTION WITH THESE OFFICIAL RULES AND/OR THE QMUSIC WOMXN IN MUSIC: QMXNTORSHIP WITH RESPECT TO ANY AND ALL CLAIMS FOR DAMAGES AND LIABILITIES SHALL NOT EXCEED TWO THOUSAND AUSTRALIAN DOLLARS ($AU2,000). 
    2. By submitting an Application, Mentee: (a) represents and warrants that Mentee (i) has read, and agrees to be bound by, the terms of this Agreement; (ii) is eligible to participate in the QMusic Womxn In Music: QMxntorship; and (iii) has provided information as part of the application process that is accurate, does not violate any third party’s legal rights (including without limitation rights of privacy, intellectual property and publicity), and otherwise does not violate applicable law; (b) consents to the use of information contained in the application or Application, Mentee’s name and/or likeness by the Sponsor for purposes of promoting the QMusic Womxn In Music: QMxntorship and future versions of the QMusic Womxn In Music: QMxntorship (whether online, in print or through any other media now known or hereafter developed), without additional compensation or authorisation unless prohibited by law; and (c) agrees to be bound by determinations of the judges, which are final. 
    3. Mentee agrees to take all further acts necessary to effectuate the intent of this Agreement including, without limitation, executing and delivering to the Sponsor and its agents all such agreements, contracts and any other documents to confirm compliance with the Agreement.
  13. General Conditions.


    1. Verification. The Sponsor has the right to verify each Mentee’s eligibility and compliance with this Agreement.
    2. Irregularities. The Sponsor is not responsible for human error or other factors beyond its reasonable control. To the extent permitted under applicable law, Mentee agrees that the Sponsor may cancel, suspend and/or modify the QMusic Womxn In Music: QMxntorship, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the QMusic Womxn In Music: QMxntorship. Mentee agrees that the Sponsor may void any Mentee’s application and disqualify any Mentee it finds to be tampering with the operation of the QMusic Womxn In Music: QMxntorship or to be acting in violation of the Agreement or disruptive manner. Any attempt by any Mentee to deliberately undermine the legitimate operation of the QMusic Womxn In Music: QMxntorship may be a violation of the law, and the Sponsor reserves all rights to seek damages and other remedies (including attorneys’ fees) from any such Mentee to the fullest extent permitted by law.  
    3. Discontinuation or Revocation of QMusic Womxn In Music: QMxntorship. The Mentee agrees that the Sponsor may discontinue the QMusic Womxn In Music: QMxntorship at any time in its sole and absolute discretion.  
    4. Identity of Mentee Via Email Address. Mentee must register with only one email address and physical street address. In the event of a dispute as to the owner of any Application, the authorised account holder of the email address used to enter will be deemed to be the person who submitted the Application. The authorised "account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. 
    5. Indemnification. Mentee acknowledges and agrees to indemnify, defend, and hold harmless the Sponsor and all of its affiliates, employees, officers, and agents from and against any and all losses arising from, relating to, or connected with participation in the Application or any part of the QMusic Womxn In Music: QMxntorship, or any activities incidental thereto including, without limitation: (i) any third-party claims, including, without limitation, any claims for personal bodily injury and/or personal property damage; (ii) claims based on any alleged breach of this Agreement by any person who is part of an Application or a QMusic Womxn In Music: QMxntorship; (iii) failure of a Mentee to procure an effective waiver or consent; (iv) any claims that the Application infringes upon or violates the intellectual property rights of any third party, infringes upon or violates any person’s or entity’s right of privacy; or (v) actual or alleged agreements or arrangements with other Mentees or participants. Mentee acknowledges and agrees that the obligation to indemnify and hold harmless as set forth in this Section will survive the expiration, lapse, or termination of this Agreement. 
    6. Sponsor Intellectual Property. The Sponsor owns all rights in connection with the QMusic Womxn In Music: QMxntorship, including without limitation, the name “Womxn In Music: QMxntorship” and associated logos. Participants and winners of the QMusic Womxn In Music: Mentorship are not granted any license, whether express or implied, to use the Sponsor’s trademarks, logos or any other intellectual property of the Sponsor unless pursuant to a duly authorised and executed written agreement between the parties.
  14. Challenge is Void Where Prohibited by Law. 
    1. If the whole or any part of a provision of this Agreement is void, unenforceable or illegal, it is severed. The remainder of the terms of this Agreement have full force and effect and the validity or enforceability of that provision in any is not affected.
  15. Governing Law and Dispute Resolution.
    1. Mentee agrees that any and all disputes arising from or relating to this Agreement shall be governed by and construed in accordance with the laws of Queensland, Australia. Any action, suit, or case arising out of, or in connection with, the QMusic Womxn In Music: QMxntorship or this Agreement must be brought in either the federal or state courts located in Queensland, Australia.



Funding for QMxntorship is from the Queensland Government via the Advancing Women in Business initiative from the Department of Small Business, Employment and Training. This initiative supports and encourages more women to start and grow their own business and attain positions of leadership.
